These Terms of Service (the “Terms”) set out the conditions for using JIM-JIN and related services provided by [Operator name] (the “Operator”). Users use the Service after agreeing to these Terms and the Privacy Policy.
Article 1 (Application)
These Terms apply to all relationships between the Operator and users regarding use of the Service.
Conditions separately posted by the Operator on tool screens, pricing pages, application screens, guidelines or elsewhere (“Separate Conditions”) form part of these Terms. If these Terms conflict with Separate Conditions, the Separate Conditions take precedence.
Article 2 (Service description)
The Service provides web tools, membership features and related functionality that assist with conversion, editing, aggregation, checking, generation, compression, extraction and other operations involving text, CSV, ZIP, PDF and other data.
Each tool’s features, supported formats, usage limits, processing methods and recommended environments are as shown on its screen or otherwise specified by the Operator.
The Service is an aid and does not provide professional judgments in law, taxation, accounting, medicine, investment, security or other fields.
Article 3 (Registration and accounts)
Applicants for registration must provide accurate, current information and apply using the method specified by the Operator.
Users are responsible for managing their authentication information and must not transfer, lend, share or otherwise allow its misuse. Except in cases of the Operator’s intent or gross negligence, use of an account’s authentication information is treated as use by that account’s user.
Users must promptly update any changes to registered information.
Article 4 (Environment and user responsibilities)
Users must provide the devices, browsers, communications, software, backups and other environment needed to use the Service at their own expense and responsibility.
Users must keep original data safely before processing and, before using or distributing results, verify completeness, accuracy, character encoding, omissions, corruption, rights infringement, viruses and other issues themselves.
For uses important to business, legal compliance or safety, users must not rely solely on the Service’s results. They must compare results with originals, seek professional review or verify them by other means.
Article 5 (Free and paid plans)
All or part of the Service may be provided free or for a fee. The Operator may set different features, processing capacities, usage counts, retention periods, support scope and other conditions for each plan.
Paid plan fees compensate for the right to access tools or features and use the specified allowance during the contract period. They do not compensate for a guarantee that inputs, conversions, calculations, generated outputs or execution results are accurate, complete, current, useful, lawful or fit for a particular purpose.
The disclaimer in Article 10 and liability limitations in Article 11 apply to both free and paid use. A paid plan does not guarantee accurate results or proper operation.
Article 6 (Fees, payment, renewal, cancellation and refunds)
Fees, payment timing and methods, contract periods, renewal conditions, cancellation methods and the start of paid services are shown on pricing pages, application screens and disclosures under Japan’s Act on Specified Commercial Transactions.
Where subscriptions are offered, they renew automatically at the intervals shown on the application screen. Users may cancel by the specified method before the next renewal date. Unless otherwise indicated, access continues until the end of the paid contract period after cancellation.
Except where refunds are legally required, charges are duplicated or the Operator considers a refund appropriate, no prorated refund or reimbursement is provided for cancellation during a contract period for user convenience, non-use, an unsuitable environment, failure to obtain expected results or similar reasons.
Changes to payment providers, tax rates, fees or plan contents will be announced in accordance with law and Article 16.
Article 7 (Input and processed data)
Input and processed data are handled in accordance with the Privacy Policy. Users must review each tool’s data processing information and enter only data for which they have the necessary rights, authority and consent.
The Operator aims to process inputs within the browser wherever possible or avoid retaining them for long periods after transmission. However, tools, features, versions, defects, logs, backups, caches, attacks and other circumstances mean that the Operator does not guarantee that transmission, retention, leaks or third-party misuse will never occur.
Before entering information whose disclosure could cause serious harm, users must anonymize, mask, encrypt or take other necessary security measures.
Article 8 (Prohibited conduct)
Users must not engage in the following conduct when using the Service.
- Violating laws, public order and morals, or these Terms
- Infringing third-party copyrights, trademarks, privacy, trade secrets or other rights or interests
- Unauthorized access, exploiting vulnerabilities, excessive load, scraping, mass execution by bots, evading rate limits, reverse engineering or otherwise interfering with operations
- Entering, transmitting or distributing malware, harmful code, unlawful data or data the user is not authorized to use
- Transferring, reselling, sharing or misusing accounts, usage allowances or paid features
- False registration, impersonation, payment fraud or obtaining improper benefits
- Other conduct the Operator reasonably considers inappropriate for operating the Service
Article 9 (Intellectual property)
Intellectual property rights in the Service’s programs, designs, text, images, trademarks and other content belong to the Operator or their lawful owners. These Terms do not transfer or license rights beyond what is necessary to use the Service.
Users represent that they hold the necessary rights to input data or have lawful authority to use it. Rights to input data remain with users or the existing rights holders.
If intellectual property rights arise in processing results, their ownership is determined by rights in the original data, third-party rights and applicable law. The Operator does not guarantee that results do not infringe third-party rights.
Article 10 (Disclaimer of warranties)
The Service is provided as is. For both free and paid use, the Operator does not warrant the following.
- That the Service is always available or free from interruptions, delays, errors, bugs, vulnerabilities, data loss, encoding problems or file corruption
- That input, calculation, conversion, analysis, generation, compression, extraction, display, download or other execution results are accurate, complete, current, reproducible or fit for a particular purpose
- Compatibility with all devices, browsers, operating systems, WordPress themes, plugins, file formats, character encodings or external services
- That input data or results will be saved, restored or completely erased
- That the Service does not infringe third-party rights and complies with laws, industry standards or users’ internal rules
- That defects, security incidents or third-party misuse will never occur
The Operator may fix defects, improve features or provide support, but does not promise repairs, recovery or replies at a particular time or by a particular method.
Article 11 (Limitation of liability)
The Operator is not liable where no fault is attributable to it for damage arising from use or inability to use the Service, reliance on results, transmission, retention, loss, corruption or leakage of data, third-party misuse, interruption of external services or other matters related to the Service.
Where the Operator is ordinarily negligent, liability is limited to direct and ordinary damage actually incurred, excluding lost profits, indirect or special damage, data recreation costs and loss of business opportunities. Liability is capped at the total Service fees actually paid by the affected user to the Operator in the 12 months preceding the event causing the damage. For free users, the cap is JPY 10,000.
The preceding limitations do not apply to damage caused by the Operator’s intent or gross negligence or other liability that cannot legally be limited. If part of this Article is invalid, it applies to the maximum extent permitted by law.
Article 12 (Changes, interruption and termination)
The Operator may change, interrupt or terminate all or part of the Service for reasonable reasons, including maintenance, incidents, security response, changes in laws or external services, or disasters. Except in emergencies, where the Operator considers the impact on users significant, it will endeavor to provide advance notice by reasonable means.
If the Operator terminates a paid plan during the contract period for its own reasons and alternative provision is difficult, treatment follows applicable law and separately posted refund conditions.
Article 13 (Restriction and cancellation of registration)
The Operator may restrict use, suspend accounts or cancel registration without prior notice if a user violates these Terms, fails to pay fees, presents misuse or security risks, cannot be contacted or is otherwise reasonably considered unsuitable for continued use. Notice will be given where appropriate under law or considerations of reasonableness.
The Operator is not liable for damage caused by restrictions or suspension except in cases of its intent or gross negligence or where otherwise legally liable.
Article 14 (Withdrawal and data deletion)
Users may withdraw by the method specified by the Operator. Unpaid fees and other obligations survive withdrawal.
After withdrawal or contract termination, the Operator deletes or anonymizes account information except for periods reasonably necessary for law, payments, disputes, backups or similar purposes. Recovery after deletion is not guaranteed.
Article 15 (Exclusion of antisocial forces)
Users and the Operator represent and warrant, now and in the future, that they are not organized crime groups, their members, affiliated enterprises or equivalent persons, and have no improper relationships with such persons.
If the other party violates the preceding paragraph, the contract may be terminated without notice or demand.
Article 16 (Changes to these Terms)
In accordance with law, the Operator may change these Terms where changes benefit users generally, or are reasonable in light of their necessity and appropriateness and do not conflict with the contract’s purpose.
When changes are made, their contents and effective date will be announced on this website, by notification to registered email addresses or by other appropriate means. Separate consent will be obtained for changes requiring user consent under law.
Article 17 (Assignment of rights and obligations)
Without the Operator’s prior written or electronic consent, users may not assign, transfer, pledge or otherwise dispose of their status, rights or obligations under these Terms.
If the Operator transfers the Service business to a third party, it may transfer its status, rights and obligations under these Terms and user information to the transferee as part of that business transfer.
Article 18 (Severability)
If any part of these Terms is determined invalid or unenforceable under law, the remaining provisions remain effective. Invalid or unenforceable provisions will be interpreted or modified within legally valid limits to reflect their intended purpose as closely as possible.
Article 19 (Governing law and jurisdiction)
These Terms and contracts relating to the Service are governed by Japanese law.
If a dispute arises regarding the Service, the parties will consult in good faith. If consultation does not resolve it, [District or summary court with jurisdiction over the Operator’s location] has exclusive agreed jurisdiction at first instance, except where consumer contract law or other applicable law provides otherwise.
